1. Eligibility and Account Responsibilities
To use our Services, you must be at least 13 years of age and possess the legal capacity to enter into these Terms. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity.
Upon registering an account, you agree to:
- Provide accurate, complete, and current information, including your name, email, and company details.
- Maintain the confidentiality of your account credentials and promptly notify us at [email protected] of any suspected unauthorized access.
- Accept responsibility for all activities conducted under your account.
2. Use of Services
Our Services enable you to craft, submit, and distribute press releases through features such as Save and Send, Save and Schedule, and Newsroom publication. You agree to:
- Adhere to Content Guidelines: Ensure all press releases comply with our Content Guidelines, including accuracy, relevance, and prohibition of misleading or unlawful content.
- Grant Necessary Licenses: By submitting content, you grant PRdrop a non-exclusive, worldwide, royalty-free license to store, distribute, and display your press releases as necessary to provide the Services, including emailing publications and posting to the Newsroom.
- Use Lawfully: Refrain from using the Services for illegal purposes, harassment, or distribution of harmful content, such as malware, defamatory material, or content infringing on third-party rights.
3. Press Release Submission and Distribution
- Save and Send: Selecting Save and Send initiates immediate distribution of your press release to chosen publications via email and publication in the Newsroom section of our homepage. You may revise the emailed content within a 72-hour window via the dashboard. Newsroom posts may be edited at any time.
- Save and Schedule: You may designate a specific date for distribution, with an optional embargo to restrict publication until that date. Edits are permitted via the dashboard until the scheduled date, after which the 72-hour editing window for emailed content applies, with unlimited edits for Newsroom posts.
- Review and Rejection: Press releases are reviewed for compliance with our Content Guidelines. If rejected (e.g., for incomplete details or off-topic content), you will receive detailed feedback via email within 24 hours, with the opportunity to revise and resubmit.
- Publication Selection: Choose publications using tags (e.g., 5G, IoT) and filters like Target Market and Language, as outlined in our Resources page.
4. Intellectual Property
PRdrop retains all rights to the platform’s design, code, branding, and proprietary content. You retain ownership of your press release content but grant us the rights necessary to provide the Services, as described above. You warrant that your submitted content does not infringe on any third-party intellectual property rights and that you have the authority to share it.
5. Third-Party Interactions
Our Services facilitate distribution to third-party publications and integration with social media platforms. Your interactions with these third parties are governed by their respective terms and policies. PRdrop is not responsible for their actions, content, or data practices.
6. Termination and Suspension
We reserve the right to suspend or terminate your access to the Services at our sole discretion if you:
- Violate these Terms or our Content Guidelines.
- Engage in fraudulent, abusive, or unlawful activities.
- Fail to maintain an active and compliant account.

7. Limitation of Liability
To the fullest extent permitted by law, PRdrop and its affiliates, officers, and employees are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services, including loss of data, profits, or business opportunities. The Services are provided “as is” without warranties of any kind, express or implied.
8. Indemnification
You agree to indemnify and hold PRdrop, its affiliates, and representatives harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the federal or state courts located in San Francisco, California, unless prohibited by law.
